River Haven Payments Terms
Last updated October 30, 2026
These terms are between River Haven Ventures LLC, a Delaware limited liability company at 15 Lilac, Lake Forest, CA 92630 ("River Haven", "we", "us"), and the business that turns on card payments in the River Haven app ("you", "the business"). They apply in addition to the River Haven Terms of Service. If the two conflict on payments, these Payments Terms control.
1. Accepting these terms
1.1. You accept these terms when you turn on card payments in the River Haven app, on the screen that says you agree to the River Haven Terms and the Stripe Connected Account Agreement. Turning on payments also gives the Balance Debit Consent (Section 12).
1.2. The person who turns on payments confirms that they own the business or are authorized to bind it, and confirms their identity with a code we text to their verified phone number.
1.3. When you accept, we record the date and time, your IP address, your device's user agent, the account and person who accepted, and the version of these terms. We send Stripe the date and IP address as evidence that you accepted Stripe's agreement.
1.4. If ownership of the business changes, or its tax identification number changes, the new owner must accept these terms and Stripe's agreement again before taking more payments.
2. Stripe processes your payments
2.1. Payment processing services for businesses on River Haven are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these terms or continuing to operate as a business on River Haven, you agree to be bound by the Stripe Services Agreement, as the same might be modified by Stripe from time to time. As a condition of River Haven enabling payment processing services through Stripe, you agree to provide River Haven accurate and complete information about you and your business, and you authorize River Haven to share it and transaction information related to your use of the payment processing services provided by Stripe.
2.2. Stripe processes data about you and your business as explained in Stripe's Privacy Policy.
2.3. Stripe's card acquirers and their contact information are listed in Stripe's Acquirer Disclosure.
2.4. You get a Stripe account that River Haven manages for you. You don't have a Stripe Dashboard login. You manage payments, refunds, payouts and your bank account in the River Haven app.
3. Verification and information sharing
3.1. To turn on payments, you give River Haven the information Stripe needs to verify you and your business. This can include your name, date of birth, home address, the last 4 digits or all of your Social Security number, your business's legal name, address, EIN, website, phone, category and description, information about owners and directors, an ID photo, and your bank account.
3.2. You authorize River Haven to send that information to Stripe, and to receive from Stripe the results of verification and information about your account, payments, payouts, disputes and balance.
3.3. River Haven doesn't keep your Social Security number, EIN or bank login. These go to Stripe directly, or through River Haven's servers without being stored. We keep a record that you consented and when, and a fingerprint of what was submitted.
3.4. You must keep this information accurate. Tell us in the app within 10 days if anything changes, including ownership, legal name, address, business type or what you sell.
3.5. Stripe or River Haven can ask for more information at any time. Until you provide it, payments or payouts can be paused.
4. You are the seller
4.1. You are the merchant of record. Your clients buy from you, not from River Haven or Stripe. Your business name appears on their statements.
4.2. You're responsible for what you sell: delivering the memberships, passes, packs, classes, appointments, sessions and other services and products you sell; your prices, taxes, and refund, cancellation and booking policies; the agreements and waivers your clients sign; and complying with the laws that apply to your business, including consumer, automatic renewal, health club and gift card laws.
4.3. You must show clients your refund, cancellation and booking policies before they pay. River Haven shows your booking policy before each booking and lets you attach agreements to what you sell; what they say is your responsibility.
4.4. You're responsible for refunds. Refunds come out of your Stripe balance. If your balance is too low, the refund creates a negative balance (Section 11).
4.5. River Haven is a software provider. We don't provide your services and aren't a party to sales between you and your clients.
4.6. Booking policies. You set your deposits, how late clients can cancel or change, and your late-cancel and no-show fees. River Haven saves the policy shown with each booking, and that copy applies to the booking even if you change your policy later. If you cancel a booking, you refund its deposit in full.
4.7. Late-cancel and no-show fees. River Haven doesn't charge them automatically. You decide whether to charge one, after the booking, and only in the amount the policy saved with that booking allows.
4.8. Saved cards. Charge a client's saved card only for what their Card-on-File Agreement covers. River Haven shows the agreement when a card is saved and keeps the record. A card you type in for a client needs the client's agreement first.
4.9. Tips. Tips clients add are part of their payment to you, and River Haven's fee applies to the whole payment, tip included. You're responsible for passing tips on to your staff as the law requires.
4.10. Visits settled outside River Haven. When a client pays you another way, you can close the visit as settled outside River Haven. That payment isn't part of River Haven Payments: River Haven doesn't process, hold or check it, and the refund, dispute and payout sections of these terms don't cover it.
5. Supported businesses and prohibited businesses
5.1. River Haven Payments is for gyms and fitness clubs, fitness studios, personal trainers, dance studios, martial arts and sports instruction, hair stylists, barbers, nail techs, lash and brow artists, estheticians, spas, massage therapists, pet groomers, and tattoo and piercing studios. Payments for these turn on automatically if verification passes.
5.2. Any other type of business goes to manual review. We may decline it for any reason.
5.3. You may not use River Haven Payments for any business or product listed in Stripe's Restricted Businesses list, or for anything illegal. You may not use it to sell goods or services that aren't your own, to take payments for another business, or to take payments for services you don't intend to deliver.
5.4. If you change what you sell, River Haven may review your account again.
6. Fees
6.1. River Haven pays Stripe's processing fees for card payments made through River Haven. You don't pay Stripe directly.
6.2. You pay River Haven a fee on each card payment, at Stripe's standard rates for that kind of payment: online and saved-card payments, taps on your iPhone, subscription invoices, and cards issued outside the US. When sales tax is calculated on a payment, the fee also includes Stripe Tax's fee for that calculation. The current rates are shown in the app.
6.3. River Haven's fee is taken from each payment when the payment is made. You receive the payment amount minus River Haven's fee. The fee isn't paid to you and then billed back.
6.4. River Haven keeps its fee when you refund a payment, as Stripe keeps its own.
6.5. If a fee can't be taken from a payment, we may take it from your balance or future payouts, or collect it under Section 11.
6.6. We may change fees with at least 30 days' notice (Section 17). Changes apply to payments made after the change takes effect.
6.7. Taxes. You're responsible for your own taxes. River Haven sets each product's sales tax treatment from the rules it keeps for each state and your answers in the app, and Stripe Tax calculates the tax on each payment from that treatment and the registrations you add. You're the seller: you're responsible for registering where you must, checking the treatment of what you sell, and filing and paying the tax you collect. River Haven's settings and reports help you do that; they aren't tax advice. Stripe or River Haven may issue tax forms, such as Form 1099-K, as the law requires.
7. Payouts
7.1. Money from your sales goes to your Stripe balance and then to your bank account weekly, on the schedule shown in the app.
7.2. New businesses. For a new business's first 90 days, each payout leaves out the last 7 days of sales, and River Haven may hold a share of prepaid sales (Section 8.2). We shorten the delay as your account builds a clean history.
7.3. Payout timing isn't guaranteed. Your bank may take extra time to post a payout. River Haven or Stripe may delay a payout to review a payment, an account change or unusual activity.
7.4. Bank account changes. Changing your payout bank account takes a new code texted to your verified phone. Payouts pause for 3 days after the change.
7.5. You must link a bank account in your business's name or, for a sole owner, in your own name. You're responsible for the bank account details you give.
8. Limits, reserves and holds
8.1. River Haven may set limits on your account, including a maximum amount per sale and per day. New businesses start with lower limits that rise with clean history. A sale over a limit is declined in the app before your client is charged.
8.2. Prepaid holds. For annual memberships, long packs and other services paid for well in advance, River Haven may hold a share of the sale, or release it to you as the service is delivered. This protects clients and River Haven if a business closes before delivering what it sold.
8.3. Reserves. River Haven may hold some or all of your balance as a reserve if we reasonably believe there's a higher risk of refunds, disputes, negative balances or losses. Reasons include a high dispute or refund rate, a sudden rise in sales, large prepaid sales followed by little activity, a change in ownership or business type, not providing requested information, or signs that you're closing.
8.4. We tell you in the app or by email when we set or change a limit, hold or reserve on your account, and the general reason, unless the law or Stripe prevents us.
8.5. Held amounts stay in your Stripe balance. We release them when the risk ends, no later than 90 days after the last service paid for is delivered, or as Section 15.4 says if your account closes, minus any amounts you owe.
8.6. You don't earn interest on held amounts.
9. Fraud prevention and monitoring
9.1. River Haven and Stripe screen payments for fraud, including with Stripe Radar rules, 3D Secure authentication for some cards, and protection against card testing. A payment may be declined, or your client may be asked to authenticate.
9.2. River Haven monitors accounts for risk, including dispute rate, refund spikes, sudden changes in volume, and large prepaid sales followed by inactivity.
9.3. You must not split one sale into several to avoid a limit, take payments for another business, charge your own card through your account, or process a payment you know is unauthorized.
10. Disputes and chargebacks
10.1. A client may dispute a payment with their card issuer. If they do, the disputed amount and Stripe's dispute fee are taken from your balance while the dispute is open. If you win, the disputed amount is returned, with any fee Stripe returns. If you lose, it isn't.
10.2. River Haven gathers evidence for a dispute from your account, including your client's check-ins and bookings, the agreements, booking policy and card-on-file agreement they accepted, the reminders they were sent, and receipts, and submits it to Stripe. You authorize River Haven to submit this evidence on your behalf.
10.3. You must cooperate with disputes. When we ask, you must provide more information within 5 days.
10.4. River Haven decides whether and how to respond to a dispute, using the evidence available. The card network and issuer make the final decision. River Haven doesn't guarantee any outcome.
10.5. A high dispute rate may lead to a reserve, lower limits, suspension or termination.
11. Negative balances and what you owe
11.1. Your balance goes negative when refunds, disputes, fees or adjustments are larger than what's in your balance.
11.2. You owe River Haven any negative balance and any loss River Haven has to cover for your account, including disputes, refunds, fees, fines from card networks and amounts Stripe charges River Haven because of your account. Stripe holds River Haven responsible for your negative balance, so you agree to repay River Haven.
11.3. River Haven recovers what you owe in this order:
- From your current Stripe balance and future payouts, including held amounts, by debiting your Stripe balance under the Balance Debit Consent.
- Through Stripe, which may debit your payout bank account to cover a negative Stripe balance under its own authorization in the Stripe Services Agreement.
11.4. River Haven doesn't debit your bank account or charge any card to recover what you owe.
11.5. If you still owe money, we may send it to collections or take other legal action. You agree to pay reasonable costs of collection.
11.6. If someone has given a personal guarantee for the business, River Haven may also recover from the guarantor under that guarantee.
12. Balance debit consent
12.1. By turning on payments, you consent to River Haven debiting your Stripe balance for amounts you owe under Section 11. The full terms are in the River Haven Balance Debit Consent, which is part of these terms.
13. Records you must keep
13.1. You must keep records of each sale, including what was sold, the price, the client's name and contact details, the agreements and policies the client accepted, and proof the service was delivered, such as check-ins, bookings and session notes.
13.2. Keep these records for at least 2 years after the sale, or longer if the law requires.
13.3. River Haven keeps the check-ins, bookings, agreements, booking policies, card-on-file agreements and receipts made in the app, and uses them for disputes. If you deliver services or keep records outside the app, you must keep those yourself and provide them on request.
14. Your account and security
14.1. Your River Haven sign-in is the only way to access your payments. You're responsible for who you give access to and what they do.
14.2. Tell us right away at support@riverhaven.app if you think someone has accessed your account without permission.
14.3. Staff you add in the app act on your behalf, within the role you give them. Every role can sell and charge; refunds, cancellations and card changes are for owners and admins.
15. Suspension and termination
15.1. River Haven may pause payments, payouts, or both, without advance notice if we reasonably believe it's needed to prevent loss, fraud, or a violation of these terms, Stripe's terms or the law, or if Stripe requires it. We tell you as soon as we can.
15.2. River Haven may end your access to payments with 30 days' notice for any reason, or immediately if you violate these terms, provide false information, are in a prohibited business, have an excessive dispute or fraud rate, or if Stripe ends or restricts your account.
15.3. You can stop using payments at any time by turning payments off in the app or emailing support@riverhaven.app.
15.4. After payments end:
- No new payments can be taken.
- Refunds, disputes and fees for past payments remain your responsibility.
- River Haven may hold your balance for up to 120 days, or longer if needed to cover disputes, refunds and services already paid for but not yet delivered, and then pays out what remains minus what you owe.
- Sections 4, 6, 10, 11, 12, 13 and 18 to 21 continue to apply.
15.5. Stripe may also end its agreement with you under its own terms.
16. Changes to these terms
16.1. We may change these terms. We give you at least 30 days' notice of changes that reduce your rights or increase your costs, unless a change is required sooner by law, Stripe or the card networks.
16.2. If you keep using payments after a change takes effect, you accept the change. If you don't agree, turn off payments before then.
16.3. Stripe may change its agreement under its own terms.
17. Notices
17.1. We give you notices by email to the owner's email address on your account, by message in the River Haven app, or both. A notice is received when sent.
17.2. You must keep your email address current.
17.3. You give notices to us at support@riverhaven.app, or by mail to River Haven Ventures LLC, 15 Lilac, Lake Forest, CA 92630.
18. Disclaimers
18.1. River Haven provides the app and payment features "as is". We don't promise that they'll always be available or error-free, or that any payment will be approved.
18.2. River Haven isn't a bank and doesn't hold your funds. Your funds are held by Stripe in your Stripe account.
19. Limitation of liability
19.1. To the extent the law allows, River Haven isn't liable for indirect, incidental, special or consequential damages, or lost profits, revenue or data.
19.2. To the extent the law allows, River Haven's total liability to you for any claim related to payments is limited to the River Haven fees you paid in the 12 months before the claim.
19.3. These limits don't apply to amounts River Haven owes you from your balance, or to liability that can't be limited by law.
20. Indemnity
20.1. You will cover River Haven's losses and reasonable costs, including attorney fees, from claims by your clients, Stripe, card networks or others related to what you sell, your violation of these terms or the law, or information you provided.
21. Governing law and disputes
21.1. These terms are governed by Delaware law, without regard to its conflict-of-law rules.
21.2. Before filing a claim, each party will try to resolve it informally for 30 days after written notice.
21.3. Claims will be brought in the state or federal courts located in Delaware, and both parties agree to their jurisdiction.
22. General
22.1. You may not transfer these terms without our written consent. We may transfer them to a successor of our business.
22.2. If a clause is unenforceable, the rest of these terms still apply.
22.3. These terms, the River Haven Terms of Service, the Balance Debit Consent, any personal guarantee given for the business, and the Stripe Services Agreement are the whole agreement about River Haven Payments.

River Haven Balance Debit Consent
Last updated October 30, 2026
This consent is part of the River Haven Payments Terms. It's between River Haven Ventures LLC, a Delaware limited liability company at 15 Lilac, Lake Forest, CA 92630 ("River Haven"), and the business that turns on card payments in the River Haven app ("you", "the business").
1. How you give this consent
1.1. You give this consent when you turn on card payments in the River Haven app, on the screen that says you agree to the River Haven Terms and the Stripe Connected Account Agreement. The River Haven Terms include the Payments Terms and this consent, and the screen links to both.
1.2. The person who turns on payments confirms their identity with a code texted to their verified phone, and confirms that they're authorized to bind the business.
1.3. River Haven records the date and time, IP address, device user agent, the person who accepted, and the version of this consent.
2. What you consent to
2.1. You consent to River Haven debiting your Stripe balance for amounts you owe River Haven under the Payments Terms, including negative balances, disputes, refunds and fees that River Haven covers for your account. Stripe calls this an "account debit": it moves money from your Stripe balance to River Haven's Stripe balance.
2.2. A single debit won't exceed $100,000 or the limit Stripe sets, whichever is lower.
2.3. River Haven shows each debit in the app with its amount, date and reason.
3. Your bank account
3.1. River Haven doesn't debit your bank account.
3.2. Stripe may debit the bank account you linked for payouts to cover a negative Stripe balance. Stripe does this under its own authorization in the Stripe Services Agreement, which you accept with the Stripe Connected Account Agreement (Payments Terms, Section 2). Questions about a bank debit by Stripe go to River Haven first, at support@riverhaven.app.
4. Ending this consent
4.1. This consent stays in effect while your account has payments on, and until everything you owe under the Payments Terms is paid.
4.2. You can withdraw this consent by turning off payments in the app and closing your payments account. Withdrawing it doesn't cancel amounts you already owe.
